Grayscale Investments has registered a Delaware statutory trust for its proposed Grayscale BNB Trust, taking initial steps toward launching a spot exchange-traded fund (ETF) tracking Binance Coin (BNB). This filing precedes any official submission to the U.S. Securities and Exchange Commission (SEC).
The development comes as regulatory pressures on Binance in the U.S. have eased following the SEC’s dismissal of a significant enforcement action against the company in 2025. The move indicates growing institutional interest in diversifying their crypto exposure beyond Bitcoin and Ethereum.
Filing Details and Strategic Context
Grayscale, managing approximately $35 billion in assets, registered the Grayscale BNB Trust as a Delaware statutory trust to establish the legal structure required for an eventual ETF. This preliminary step, standard in the industry, allows the firm to prepare operational details before filing a Form S-1 registration statement with the SEC.
Unlike Grayscale’s recent January 20, 2026, S-1 filing to convert its existing NEAR Trust into a spot NEAR ETF listed on NYSE Arca, no S-1 has been submitted for the BNB product yet. As part of the arrangement, Coinbase would likely serve as custodian for the BNB holdings, with shares created and redeemed in blocks to maintain efficient pricing and liquidity.
The proposed ETF would offer investors direct exposure to BNB through traditional brokerage accounts, eliminating the need for direct cryptocurrency custody or wallet management. This action aligns with Grayscale’s aggressive expansion strategy, as evidenced by its simultaneous January 8 registration of a Hyperliquid (HYPE) trust and the inclusion of BNB on its Q1 2026 “Assets Under Consideration” list alongside dozens of other altcoins.
SEC’s Crypto-Friendly Stance
Grayscale’s recent decision follows the SEC’s voluntary dismissal of its civil lawsuit against Binance and its founder, Changpeng Zhao, which was dismissed with prejudice in May 2025. This move indicates a shift away from aggressive enforcement as the SEC adapts its policy priorities.
The resolution lifted a significant burden that had been limiting Binance’s operations in the U.S. and negatively affecting sentiment around BNB-related products. Combined with increased regulatory clarity and pro-crypto momentum, the environment now supports altcoin ETF pursuits, including ongoing efforts for Solana, XRP, and others.
